Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the NaviQInsight website (naviqinsight.com), client portal, and consulting services (collectively, the "Services") provided by NaviQInsight ("we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

Description of Services

NaviQInsight provides supply chain analytics consulting services, including but not limited to:

• Fleet optimization and route planning analysis
• P&L forecasting and financial analytics
• Freight audit and spend analysis
• Business intelligence dashboards and reporting
• Client portal access for project deliverables

Specific services are governed by separate consulting agreements or statements of work.

User Accounts

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any systems or data
• Interfere with or disrupt the integrity of the Services
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems to access the Services without permission
• Impersonate any person or entity
• Share account credentials with unauthorized parties

Intellectual Property

Our Intellectual Property

The Services, including all content, features, functionality, software, and branding, are owned by NaviQInsight and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Data

You retain ownership of all data you provide to us. By providing data, you grant us a limited license to use, process, and analyze that data solely to provide the Services to you. We will not share your proprietary data with third parties except as required to deliver our services or as required by law.

Deliverables

Ownership of project deliverables is governed by the specific consulting agreement or statement of work. Unless otherwise agreed, deliverables created specifically for you become your property upon full payment.

Confidentiality

We understand that you may share confidential business information with us. We agree to maintain the confidentiality of such information and use it only for the purpose of providing our Services. Specific confidentiality obligations may be outlined in separate non-disclosure agreements.

Payment Terms

Payment terms for consulting services are specified in the applicable statement of work or consulting agreement. Generally:

• Invoices are due within 30 days of receipt unless otherwise agreed
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Services will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of results

Our analytics and recommendations are based on the data provided to us and are intended to inform decision-making, not replace professional judgment.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIQINSIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless NaviQInsight and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your data provided to us.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and associated data
• Provisions that by their nature should survive will remain in effect

Termination of consulting engagements is governed by the applicable agreement.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through:

1. Negotiation: The parties will first attempt to resolve disputes through good-faith negotiation.
2. Mediation: If negotiation fails, disputes will be submitted to mediation in Chennai, India.
3. Arbitration: If mediation fails, disputes will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable consulting agreements, constitute the entire agreement between you and NaviQInsight regarding the Services and supersede all prior agreements and understandings.
